Terms and Conditions
Last updated: 4 November 2026
1. About these terms
These terms apply to the services provided by Irvello ("we", "us"), a software company based in KwaZulu-Natal, South Africa, to any business that engages us ("the client"). By accepting a proposal or using our services, the client agrees to these terms.
2. Our services
We design, build, set up and support business software, either pre-built software or custom software, and connect it to the client's existing systems. The exact scope, deliverables and price are set out in a written proposal.
3. Free audit
The audit is free, carries no obligation and does not commit the client to buy anything. We may recommend that software will not pay off for the client, and we will say so.
4. Quotes, fees and payment
Quotes are valid for 14 days. All amounts are in South African Rand and include or exclude VAT as stated in the proposal. Payment terms: [TO CONFIRM, for example deposit on acceptance and balance on go-live]. Late payments may suspend support until settled.
5. 30-day guarantee
If the software does not deliver the outcome agreed in writing in the proposal within 30 days after go-live, the client may cancel and will not be charged further fees. The guarantee applies on these conditions: the outcome was clearly agreed in the proposal; the client supplied the access, information and a point of contact we reasonably asked for; and the client used the software as agreed. [REFUND OF FEES ALREADY PAID: TO CONFIRM]
6. Client responsibilities
The client will give accurate information, timely access to the systems the software must connect to, and a named person to review results.
7. Data protection and POPIA
We process personal information only to deliver the services and on the client's instructions, acting as an operator under the Protection of Personal Information Act (POPIA). We keep it secure, do not sell it, and delete or return it on request. The client confirms it is entitled to share the information it gives us. See our Privacy Policy.
8. Confidentiality
Each party will keep the other's confidential information private and use it only for the purposes of the services.
9. Intellectual property
The client owns its data and the outputs produced from it. We keep ownership of our pre-built software and tools and grant the client a licence to use them while the agreement is active. Ownership of custom work is as set out in the proposal.
10. Support and availability
We provide support with reasonable care and skill. We do not guarantee uninterrupted or error-free service. We will give notice of planned maintenance.
11. Limitation of liability
To the extent the law allows, our total liability under an agreement is limited to the fees the client paid us in the previous 12 months, and we are not liable for indirect or consequential loss. Nothing in these terms limits liability that cannot be limited by law.
12. Termination
Either party may end the agreement with 30 days' written notice. On request we will export the client's data to it.
13. Governing law
These terms are governed by the laws of the Republic of South Africa.
14. Changes and contact
We may update these terms and will show the date of the latest update. Questions: .
